Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of PeoplePilot's website, mobile applications, APIs, and related services (collectively, the "Services") operated by PeoplePilot ("we," "us," or "our"). By creating an account or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or organization (the "Organization"), you represent that you have the authority to bind that Organization to these Terms.

2. Description of Services

PeoplePilot provides AI-powered workforce management software designed for trades and construction companies, including but not limited to:

• Employee scheduling and shift management
• Time clock with optional GPS-verified clock-in
• Timesheet management and payroll integration
• Overtime tracking and labor cost analytics
• Crew and job site assignment
• Certification and compliance tracking
• In-app communication and announcements
• AI-powered workforce optimization and insights

3. Accounts & Access

Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

Role-Based Access

Organization administrators control user access and permissions within their account. Administrators are responsible for configuring appropriate access levels for managers, supervisors, and field employees. PeoplePilot is not responsible for data exposure resulting from misconfigured permissions within your Organization.

Authorized Users

You may only invite individuals who are current employees, contractors, or authorized agents of your Organization. You are responsible for ensuring all users comply with these Terms.

4. Acceptable Use

You agree not to:

• Use the Services for any purpose other than legitimate workforce management
• Violate any applicable law, regulation, or labor standard
• Use GPS or time-tracking features to surveil employees beyond what is disclosed to them and permitted by law
• Attempt to reverse-engineer, decompile, or extract source code from the Services
• Interfere with or disrupt the integrity or performance of the Services
• Access another Organization's data without authorization
• Use the Services to transmit malicious code, spam, or unlawful content

5. Data Ownership & Responsibilities

Your Data

Your Organization retains ownership of all employee data, schedules, timesheets, and other content entered into the Services ("Your Data"). We do not claim ownership over Your Data.

License to Us

You grant us a limited, non-exclusive license to process, store, and transmit Your Data solely as necessary to provide and improve the Services. This includes using anonymized, aggregated data for analytics and product improvement (e.g., industry benchmarks), which cannot be used to identify your Organization or individuals.

Data Accuracy

Your Organization is responsible for the accuracy and legality of the data entered into the Services. PeoplePilot provides tools for compliance assistance, but does not guarantee compliance with any specific labor law, union agreement, or regulatory requirement. You should consult qualified legal or HR counsel for compliance matters.

6. AI Features & Recommendations

Certain features of the Services use artificial intelligence and machine learning to provide scheduling suggestions, overtime alerts, labor cost projections, and workforce insights. These AI-generated recommendations are provided as decision-support tools and should not be treated as legal, financial, or employment advice. You are solely responsible for all scheduling, staffing, and employment decisions made using the Services.

7. Subscription & Payment

Plans & Billing

Access to the Services requires a paid subscription. Fees are based on the plan you select and the number of active employees. Billing occurs monthly or annually as selected at the time of purchase.

Free Trial

We may offer a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial expires. No credit card is required to start a trial.

Price Changes

We may adjust pricing with at least thirty (30) days' advance notice. Continued use after a price change constitutes acceptance of the new pricing.

Refunds

Annual subscriptions may be refunded within fourteen (14) days of purchase if you have not substantially used the Services. Monthly subscriptions are non-refundable. Contact support@peoplepilot.com for refund requests.

8. Intellectual Property

The Services, including all software, designs, text, graphics, and AI models, are owned by PeoplePilot and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology beyond what is necessary to use the Services.

9. Third-Party Integrations

The Services may integrate with third-party platforms (payroll providers, accounting software, HR systems). We are not responsible for the availability, accuracy, or privacy practices of third-party services. Your use of integrations is subject to the applicable third party's terms.

10. Service Availability & Support

We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. Our current uptime status is available on our status page. Support is provided via email and in-app chat during business hours.

11. Termination

By You

You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access through the end of your current billing period. You may export Your Data before your account is deactivated.

By Us

We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or engage in conduct that harms other users or the integrity of the Services. We will provide reasonable notice when possible.

Effect of Termination

Upon termination, your right to use the Services ceases. We will retain Your Data for thirty (30) days after termination, during which you may request an export. After that period, Your Data will be deleted, subject to legal retention requirements.

12. Limitation of Liability

To the maximum extent permitted by law, PeoplePilot's total liability for any claims arising from your use of the Services is limited to the fees you paid in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, secure, or available at all times. AI-generated recommendations may contain inaccuracies and should be verified before acting on them.

14. Indemnification

You agree to indemnify and hold PeoplePilot harmless from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your Organization's violation of applicable laws including labor and employment regulations.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Services will first be addressed through good-faith negotiation. If unresolved after thirty (30) days, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association. Class action waivers apply to the maximum extent permitted by law.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least thirty (30) days in advance. Continued use after the effective date of changes constitutes acceptance.
